Commercial Real Estate Legal Services

The Law Office of Ryan A. Ramsaran, P.A., ("The Firm") was founded and is currently headed by Ryan A. Ramsaran, Esq. The Firm represents Buyers and Sellers in the acquisition, sale and development of Commerical and Industrial properties of all types.  From negotiating and drafting real estate contracts and financing arrangements, to clearing title problems, to assisting with critical due diligence, to drafting and negotiating easements, to coordinating with surveyors, engineers, architects, environmental professionals and other professionals who may be involved in a project, as well as drafting and recording applicable documents and closing the transaction, The Firm strives to consistently deliver quality and responsive representation to its valued clients.  

Residential Real Estate Legal Services

The Firm also represents Buyers and Sellers in the acquisition and sale of residential properties, as well as providing closing and title services and issuing title insurance.

Other Legal Services  

In addition to its real estate practice, The Firm also accepts the following cases:  

* Negligence, Personal Injury, Cruise Ship Negligence, Wrongful Death;

* Class Actions;

* Products Liability;

* Medication/ Prescription Negligence.

In accordance with the Rules of the Florida Bar, in particular Rule 4-1.5 (g)(2), these cases may be referred to another law firm for which there will be a division of fees and "...a division of fees between lawyers who are not in the same firm may be made only of the total fee is reasonable and:

(1)  the division is in proportion to the services performed by each lawyer; or

(2) by written agreement with the client:

(A) each lawyer assumes joint legal responsibility for the representation and agrees to be available for consultation with the client; and

(B) the agreement fully discloses that a division of the fees will be made and the basis upon which the division of fees will be made."

About Ryan A. Ramsaran, Esq.

Founder

       Ryan A. Ramsaran ("Ryan") is recognized as a board-certified expert in Florida real estate law by the Florida Bar.  Ryan is admitted to practice law in the state Bars of Florida, New York and New Jersey as well as the United States District Court, southern district of Florida.

       While attending law school at Syracuse University College of Law, Ryan's first exposure to working in the law was as a summer intern in the chambers of United States district judge for the Southern District of Florida, the Honorable Judge Kenneth Ryskamp (deceased).  In chambers, Ryan continued honing his legal research and analytical skills.   

       During the summer of Ryan's second year of law school, he was hired as a paid summer intern in the Antitrust division of the Federal Trade Commission's offices in New York City.  While there, Ryan learned the role the law can play in protecting consumers as well as the impact big business can have on society, whether good or bad.

       Upon graduating from law school and being admitted to the state Bars of New York and New Jersey, Ryan started working at the Hiscock Legal Aid Society in Syracuse, New York representing people define as "poor" and accused of misdemeanors and violations in Syracuse City court.  While at this job, Ryan was required to go to court every day for pretrial conferences, regularly for arraignments and occasional suppression hearings and trials.  The high-volume case load significantly increased Ryan's courtroom experience.

       Upon returning to Florida, in 2003 and subjecting himself to another Bar exam (The Florida Bar exam), Ryan started his own law practice in Palm Beach County, Florida.  The Law Firm primarily handled residential real estate closings as well as some real estate litigation when necessary.  Within the past decade, however, Ryan's practice has transitioned into representing companies buying commercial property.  

       Ryan's varied legal professional experience informs his perspective on the law and its impact on society.  Ryan believes in the Japanese concept of "Kaizen" which although encompasses many concepts can be summarized by the concept, "Never stop improving."  

       Ryan tries to employ this concept in his law practice and his life.  When not working, Ryan is either spending time with his family or working on some form of self-improvement, whether trying to learn a language or trying to acquire other skills.

Although closing real estate transactions, whether commercial or residential, and regardless of dollar value may share some common characteristics, inevitably there will be transactions which present unique and more complicated challenges, often unknown to either the Buyer or the Seller.  

 

In recent years, The Firm's practice has been concentrated on representing companies and high net-worth individuals in acquiring and disposing of commercial and residential real property in southeast Florida.  From million-dollar residences, to multiple warehouses, to a free-standing retail store as well as a multi-million-dollar event facility, The Firm is experienced in a diverse array of transactions.  The following are only a few examples of some of the issues The Firm has successfully resolved in the course of its real estate practice:

 

* Negotiating mortgage finance terms on behalf of a client where a private lender wanted to eliminate in advance the Client's right of redemption;

 

*  On behalf of the Buyer, negotiated and drafted, along with Seller's counsel, Seller financing terms as part of the closing of a multi-million-dollar waterfront residence;   

 

*  Assuring the Client's (Buyer) right to possession of a commercial property was superior to the rights of occupants of the property who were apparently residing there with the Seller's consent;  

 

*  Represented Client in the exercise of an option to purchase a commercial property with preexisting Tenants and other obligations;

 

*  Filing a summary probate to clear title for a deceased co-tenant of a property so that the property can be sold;

 

*  Negotiating and closing the sale of a multimillion on-going business involving real estate, tangible and intangible assets;

 

* Determining the redevelopment potential of a commercial property for the client's particular purposes....
